1. INTRODUCTION

Welcome to With Awareness LLC (“we,” “our,” or “us”) operating under the trade name Mindful Nutrition. These Terms of Service (“Terms”) govern your access to and use of (the “Website”) and our other services. By accessing or using our services, you (“User”, “Client” or “you”) agree to these Terms in their entirety.

2. SCOPE OF SERVICES

With Awareness LLC will provide client with nutritional guidance via website and live discussions with materials including educational materials such as handouts, recipes, and other resources.

Client may purchase ongoing support including regular consultations (e.g., weekly, bi-weekly) to monitor progress and make adjustments to the nutrition plan as needed.

3. DISCLAIMERS

Non-Medical Services

We are NOT licensed healthcare providers, registered dietitians, or medical professionals. Our services do not constitute medical advice, diagnosis, or treatment. We cannot and do not:

Diagnose or treat any medical conditions
Prescribe medications or supplements
Provide medical nutrition therapy
Make specific medical recommendations

Non-Therapeutic Services

We are NOT licensed therapists, counselors, or mental health professionals. Our services do not constitute psychological, psychiatric, or therapeutic treatment. We cannot and do not:

Provide mental health counseling or therapy
Treat eating disorders or disordered eating
Address trauma or psychological conditions
Provide crisis intervention services

With Awareness LLC makes no warranties, express or implied, regarding the results of the services provided.

Client understands and acknowledges that the success of any nutrition plan depends on their own commitment and adherence to the plan.

4. CLIENT ACKNOWLEDGMENTS

By using our services, you acknowledge and agree that:

You understand we are not licensed healthcare providers or therapists in South Carolina or any other jurisdiction.
You will consult with qualified healthcare providers regarding any medical conditions, including but not limited to:

Existing health conditions
Dietary restrictions
Medication interactions
Pregnancy or nursing
Eating disorders

You will seek appropriate professional help for any mental health concerns.
You understand that results from our services are not guaranteed and may vary.

5. CLIENT RESPONSIBILITIES

You agree to:

Provide accurate and complete information about your health status and goals.
Inform us of any changes in your health status.
Notify your healthcare providers about your participation in our programs.
Adhere to the agreed-upon nutrition plan to the best of their ability.
Attend scheduled consultations or provide reasonable notice for cancellations.
Take responsibility for your own health decisions and choices.

6. EMERGENCY SITUATIONS

We do not provide emergency services.

In case of:

Medical emergencies: Call 911 or go to the nearest emergency room
Mental health crises: Contact the National Crisis Hotline (988) or your local crisis services

7. PRIVACY, CONFIDENTIALITY, AND CONTENT USAGE

While we maintain client confidentiality, we are not bound by HIPAA regulations or therapeutic confidentiality laws.

By sharing images of meals, food preparation, or related content with us, you grant us a non-exclusive, perpetual, worldwide license to use, modify, reproduce, and distribute such images for:

Research purposes
Educational materials
Marketing and promotional content
Other business-related purposes

While personal identifying information will not be shared without consent, meal images and related content may be used anonymously for the purposes stated above.

We are a United States-based company. For all users:

We collect and process data in accordance with United States law
Your data will be transferred to and processed in the United States
By using our services, you consent to your data being transferred to and processed in the United States
If you are located in the European Union or other regions with data protection laws that may differ from U.S. law, please note that your information will be transferred to and processed in the United States

We collect and process personal information as described in our Privacy Policy, including:

Information you provide when creating an account
Usage data and analytics
Cookie data
Communication preferences
Payment information

8. WEBSITE AVAILABILITY

We strive to maintain Website availability but do not guarantee uninterrupted access

You are responsible for providing your own internet access and compatible devices

We may modify, suspend, or discontinue any part of the Website with notice

We are not liable for any technical issues beyond our reasonable control

9. FEES AND PAYMENT

The fee for services shall be based on the package/session selected and is due at the time of services. Payment shall be made via electronic payment. Recurring services may incur late fees that will be stated in specific service related agreements. Services fees are non-refundable on failure to timely change or cancel an appointment. After three no call/no show appointments, client will be terminated.

10. LIABILITY LIMITATION

To the fullest extent permitted by law, our liability shall be limited to the amount paid for our services. We are not liable for any direct, indirect, incidental, special, or consequential damages. We do not warrant the accuracy, completeness, or reliability of website or program content.

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

12. TERMINATION

This Agreement may be terminated by either party upon 30 days written notice to the other party.

Nutritionist may terminate this Agreement immediately upon written notice to Client for any of the following reasons:

Non-payment of fees.
Failure of Client to comply with the terms of this Agreement.
Client’s disruptive or abusive behavior.

13. INTELLECTUAL PROPERTY

All program and website content is protected by copyright and other intellectual property laws

Our trademarks, logos, and brand features are our exclusive property

You may not use our intellectual property without express written permission

14. GOVERNING LAW

These Terms are governed by the laws of South Carolina, without regard to conflicts of law principles. Any disputes will be subject to the exclusive jurisdiction of South Carolina courts. Clients waive any objections to venue or jurisdiction.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
